Validation orders are special types of court applications which are made in urgent circumstances when a company has been served with a winding up petition. That could be a winding up petition issued by a creditor or for example a winding up petition by the HMRC for non-payment of NI, VAT, PAYE or other tax.
In the circumstances where a winding up petition has been issued and served against a company, if the company wants to continue to trade, for example to pay staff or complete a contract, it should obtain a validation order at court to allow those particular transactions to be made.
Failure to properly obtain a validation order can have drastic consequences for the directors of a business and/or recipients of monies if the company then goes into liquidation. A liquidator can bring claims against the directors and/or recipients of monies to recover those from the directors. Furthermore, without a validation order the company bank account can be frozen and it can affect your ability to continue to trade. Bank account frozen issues can really damage a company and a validation order can give court sanction to the unfreezing of an account and force the bank to transfer the monies.

I was very impressed with the service I received at Francis Wilks and Jones. It was extremely thorough, professional and speedy, and the fees were much more reasonable than the competition. We ended up going down a different path than initially anticipated, and they only charged me minimal fees. Highly recommended.
I was greatly impressed with the commercial, tactical and technical ability of the team at FWJ. They quickly got to grips with a complex set of facts. Through their hard work they had the proceedings against me dropped and a significant proportion of my legal fees repaid. I couldn’t recommend them highly enough.
